Corporate
MDA provides assistance to companies in the field of company law, especially with regard to extraordinary transactions, such as sales of a company or its branches, transfers of assets or company units, disposals of shareholdings, mergers and demergers.
Corporate services include assistance in all phases of the extraordinary transaction, starting with the transaction planning, followed by the execution of preliminary due diligence, up to the closing through drafting of the final contracts of the transaction. Advisory activities are carried out for defining and reshaping corporate governance arrangements, as well as providing assistance in the drawing up of by-laws, minutes of shareholders’ meetings and shareholders’ agreements, and assistance in the bad debts collection and, generally, in commercial litigation activities.
This service includes professional assistance in corporate litigation, both before ordinary courts and in arbitration, including liability actions against corporate bodies, challenges to corporate resolutions and disputes between shareholders or among shareholders and the company.
